Terms and conditions of sale

The terms and Conditions listed below shall govern all sales to any customers and shall override any additional or conflicting conditions the customer may attempt to impose. Further, on variation of these terms and conditions shall be valid unless agree in writing by Premier Wholesale U.K. Limited.

1. Condition
   
   Unless otherwise agreed in writing these conditions shall prevail over any inconsistent terms implied by law or by custom practice or course of dealing or buying documentation and by any such inconsistent terms and are hereby expressly excluded.
   
   
2. Sales
   
   All products are offered subject to availability. Prices apply as at date of despatch. The company reserves the right to alter prices or packaging without prior notice to customers.
   
3. Payment
   
   a) The customer will be invoiced by the company daily.
   
   b) Settlement will be 14 days from the last day of the month of issue of the notice.
   
   c) The company reserves the right, at its absolute discretion, to charge contractual interest at a rate of 2% per month on all late payments.
   
   d) All payments made to the company by cheque must clear on the first presentation.
   
   e) Goods are delivered on cash on delivery basis unless otherwise agreed in writing. Cash on delivery to any representative of the company can only be proven and accept on production of a receipted invoice or delivery note being furnished by the customer, no claim of cash can be entertained subsequently.
   
   f) Customers who have established credit accounts should send payments upon receipt of statement an in any event no later than the date as determined under clause 3(b). A stop list will be operated is accounts are not paid within seven days of receipt.
   
   g) Payments should be made direct to the supplying depot as indicated on statement.
   
   h) The company will only accept payment in pound sterling to the full amount of any invoice due. All bank charges incurred in the negotiation of sterling payments and any deficiencies will be charged to the account of the customer.
   
   i) The company reserves the right to charge the customer for all third party costs, including collection commission, levied at the rate of 10% of the total balance.
   
   In the event that the Customer has paid or pre-paid in the form of a cheque payment, any changes incurred by Premier Wholesale by their Bankers the said charges shall be passed onto the customer (i) in the case of RDPR the customer shall be charged the sum of £30.00 by Premier Wholesale, and (ii) in the case of Bounced cheque the customers shall be charged £70.00
   
   (j) In the event of a direct debit unpaid the customer will be charged £30.00
   
   
4. Quality
   
   The customer must notify the company as its principle place of business of any shortfall of goods or of any damaged stick within 72 hours of delivery.
   
   
5. Title
   
   Title of goods does not pass onto customer until paid for in full. Goods purchased, but not paid for remain the property of Premier Wholesale (UK) Ltd, and we reserve the right to the full value of the goods taken by the customer. In the event of non-payment, Premier Wholesale may retain monetary value from your premises, to re-cover the outstanding amount owned to Premier Wholesale (UK) Ltd.
   
   
6. Termination of account
   
   The company reserve the right as its absolute discretion to close or suspend the customer account at any time on giving the customer written notice by statement of its intention to do so. The customer must forthwith upon receipt of the company’s statement of its intention to close or suspend an account pay to the company all sums due to company at the date.
   
   
7. Failing to Comply
   
   Failing to comply with the above terms and conditions, Premier Wholesale Ltd at its discretion without any notice to the customer is at liberty to terminate the customers account with Premier Wholesale. In the event of further Legal action is to be taken by Premier Wholesale to recover any outstanding amount from the customer, the Legal charges incurred by Premier Wholesale shall be passed onto the said customer.
